Terms of Service – EtherealMinds LLC

These Terms of Service govern the relationship between EtherealMinds LLC (“EtherealMinds”, “we”, “us”) and any individual or entity (“Client”, “you”) who purchases or uses our services. By submitting payment, engaging our services, or continuing to use any of our offerings, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.
EtherealMinds provides digital marketing and business growth services, including but not limited to advertising management, social media management, content creation, CRM systems, funnel development, websites, landing pages, automation systems, and consulting. All services are delivered on a best effort basis and depend on multiple external variables beyond our control.
Services begin upon receipt of payment and continue on a recurring basis unless properly cancelled. If you wish to discontinue services, you are required to submit written notice via email at least thirty (30) days prior to your next billing cycle. Failure to provide proper notice will result in continued billing for the following period.
All payments made to EtherealMinds are final. By completing any payment, you acknowledge and agree that all fees are non refundable under any circumstance, including but not limited to dissatisfaction with results, campaign performance, business outcomes, or external factors. All payments are considered fully earned upon receipt, and you expressly waive any right to request refunds, reversals, or reimbursements.
You further agree not to initiate any chargebacks, disputes, or payment reversals through your financial institution or payment provider. Any such action constitutes a material breach of this Agreement. In the event of a chargeback or dispute, you agree to be fully responsible for all resulting damages, including but not limited to legal fees, administrative costs, recovery expenses, lost operational time, and any additional financial harm caused to EtherealMinds.
EtherealMinds does not guarantee any specific results. This includes, but is not limited to, revenue, leads, appointments, return on investment, or business growth. You understand that marketing outcomes are influenced by numerous factors, including your offer, pricing, market conditions, competition, and internal operations, all of which remain outside the control of EtherealMinds. By engaging our services, you accept full responsibility for the outcomes of your business.
You acknowledge that you retain full responsibility for your business operations, decisions, advertising spend, customer interactions, and compliance with all applicable laws and regulations. EtherealMinds acts solely as a service provider and is not responsible for the performance, management, or results of your business.
You acknowledge and agree that EtherealMinds has no control over the nature, quality, legality, or fulfillment of your products or services. EtherealMinds operates in good faith under the assumption that your business, offers, and representations are truthful, lawful, and compliant with all applicable regulations. You are solely responsible for the delivery of your products or services, customer satisfaction, and any claims, disputes, or issues arising from your business operations. EtherealMinds shall not be held liable for any complaints, refunds, chargebacks, legal claims, or damages related to your customers, clients, or business practices, including but not limited to allegations of misrepresentation, fraud, or failure to deliver services. You agree to fully indemnify and hold EtherealMinds harmless from any such claims.
Our services may involve the use of third party platforms such as Meta, Google, or other advertising, hosting, CRM, or software systems. EtherealMinds is not responsible for any actions, changes, or issues arising from these platforms, including but not limited to account suspensions, bans, policy violations, algorithm changes, performance fluctuations, data loss, or service interruptions.
You further acknowledge that digital environments inherently involve risk. EtherealMinds shall not be held liable for any security breaches, hacking incidents, unauthorized access, data loss, financial losses, or system failures resulting from cyber incidents or vulnerabilities. You are solely responsible for maintaining the security of your accounts, passwords, systems, and internal processes.
While EtherealMinds will act in good faith and with professional standards, you acknowledge that errors may occur in digital systems, including but not limited to campaign configurations, budget allocations, tracking systems, CRM automations, integrations, or technical implementations. You accept full responsibility for any financial or operational impact resulting from such errors.
You agree to provide accurate information, necessary access, and timely communication required for service delivery. Any delays, performance issues, or limitations resulting from missing information, lack of communication, or internal inefficiencies remain your responsibility and do not affect your payment obligations.
By engaging our services, you grant EtherealMinds a non exclusive, worldwide, royalty free license to use your content, branding, logos, and materials for the purpose of delivering services. Additionally, unless explicitly requested otherwise in writing, you grant EtherealMinds the right to reference your business, brand, results, and performance data for use in case studies, testimonials, and marketing materials across any platform.
You agree to indemnify, defend, and hold harmless EtherealMinds, its owners, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses arising out of or related to your business, your use of our services, your advertising, your customer relationships, or any violation of applicable laws or third party rights.
To the maximum extent permitted by law, EtherealMinds shall not be liable for any direct, indirect, incidental, consequential, or special damages, including but not limited to lost profits, lost revenue, business interruption, reputational damage, or data loss. In all cases, the total liability of EtherealMinds shall not exceed the amount paid by you to EtherealMinds within the thirty (30) days preceding the event giving rise to the claim.
In the event of any dispute, you agree to first attempt to resolve the matter informally in good faith. If resolution cannot be reached, all disputes shall be resolved exclusively through binding arbitration in the State of Florida, USA. You expressly waive the right to file a lawsuit, participate in a class action, or seek a jury trial. All claims must be brought on an individual basis.
If you initiate any legal action, claim, or proceeding against EtherealMinds and do not prevail, you agree to reimburse EtherealMinds for all costs incurred, including but not limited to attorney fees, court costs, travel expenses, accommodation, administrative time, and any damages resulting from the dispute.
EtherealMinds reserves the right to modify these Terms at any time. Continued use of our services after any updates constitutes acceptance of the revised Terms.
These Terms constitute the entire agreement between you and EtherealMinds and supersede any prior agreements or understandings, whether written or verbal.
By completing payment and engaging our services, you acknowledge that you have read these Terms in full, understand them, and voluntarily agree to be bound by them.
